RESTRICTED USE NOTICE
THE APP AND ALL RELATED SERVICES ARE NOT OFFERED TO, AND MAY NOT BE USED BY, RESIDENTS OF OR PERSONS LOCATED IN THE UNITED STATES, OR ANY JURISDICTION SUBJECT TO COMPREHENSIVE INTERNATIONAL SANCTIONS. USE OF A VPN OR OTHER CIRCUMVENTION MEANS IS STRICTLY PROHIBITED. BY USING FLUXOR, YOU CONFIRM YOU ARE NOT A RESTRICTED PERSON.

ARBITRATION NOTICE
THESE TERMS REQUIRE INDIVIDUAL BINDING ARBITRATION TO RESOLVE DISPUTES UNDER THE ARBITRATION AND CONCILIATION ACT, 1996 (INDIA). BY USING THE APP, YOU WAIVE YOUR RIGHT TO PARTICIPATE IN CLASS ACTION PROCEEDINGS.

1. Agreement to Terms

These Terms and Conditions ("Terms") govern your use of the Fluxor mobile application ("App") for iOS and the website at fluxor.exchange ("Site"), collectively the "Interface," operated by [FLUXOR ENTITY] ("Fluxor," "we," "us," or "our"). Note: Fluxor is currently operated by its founders pending formal incorporation. Upon registration of a legal entity, these Terms will be updated to reflect the registered entity name and jurisdiction.

By downloading, installing, or using the App, or by accessing the Site, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not access or use the Interface. These Terms constitute a legally binding agreement between you and Fluxor.

2. About Fluxor

Fluxor is a non-custodial, chain-abstracted decentralised exchange (DEX) aggregator and crypto wallet application for iOS. It provides unified access to decentralised finance (DeFi) protocols by aggregating swap quotes across multiple liquidity sources on EVM-compatible networks and Solana.

Key characteristics of Fluxor:

  • Non-custodial: Fluxor never holds, controls, or has access to your private keys or digital assets at any time.
  • Smart Account Infrastructure: The App uses advanced EIP-7702 smart account infrastructure, with EOA key management powered by third-party Multi-Party Computation (MPC) Threshold Signature Scheme (TSS) technologies. Your private key is split into multiple shards and is never fully assembled in any single location.
  • Swap Aggregation: The App queries multiple third-party DEX aggregators simultaneously to surface the best available swap route for your transaction.
  • Unified Balance: Assets spread across multiple supported chains are presented as a single unified balance. Cross-chain fund movement is handled via integrated third-party cross-chain routing and account abstraction infrastructure.
  • Decentralised Protocols: Fluxor does not own or control the underlying blockchain networks, smart contracts, or third-party DeFi protocols that the Interface interacts with.

3. Eligibility

You may use the Interface only if all of the following are true:

  • You are at least 18 years of age;
  • You have the legal capacity to enter into a binding contract under the laws of your jurisdiction;
  • You are not a Restricted Person (defined in Section 4);
  • Your use of the Interface does not violate any applicable law or regulation in your jurisdiction; and
  • You are not using the Interface on behalf of a legal entity that is itself a Restricted Person or is prohibited from using the Interface.

By using the Interface, you represent and warrant that all of the above are true at the time of each use.

4. Restricted Persons and Territories

4.1 Restricted Territories

"Restricted Territory" means:

  • (a) The United States of America and its territories and possessions;
  • (b) Any country, territory, or region subject to comprehensive economic or trade sanctions or embargoes administered by the United Nations Security Council, the U.S. Office of Foreign Assets Control (OFAC), the European Union, or the United Kingdom, as updated from time to time (illustrative examples of which include Cuba, Iran, North Korea, and Syria); and
  • (c) Any jurisdiction where access to or use of the Interface would be unlawful under applicable law.

4.2 Restricted Persons

"Restricted Person" means any natural person or legal entity:

  • Residing in, located in, incorporated in, or having a registered office in a Restricted Territory;
  • Listed on any sanctions list maintained by the UN Security Council, OFAC (including the Specially Designated Nationals and Blocked Persons List), the EU Consolidated List, or the UK Sanctions List; or
  • Owned, controlled by, or acting on behalf of any of the above.

4.3 Enforcement

Restricted Persons may not use the Interface for any reason. We reserve the right to block access from certain IP addresses, device identifiers, or geographic regions at our sole discretion without notice. The use of Virtual Private Networks (VPNs), proxy servers, or any other means to circumvent these restrictions is a material breach of these Terms and is strictly prohibited. Fluxor assumes no liability for damages arising from circumvention attempts.

5. The App and Services

5.1 Description of Services

Fluxor provides the following core services through the App:

  • A non-custodial crypto wallet with unified, chain-abstracted balance display
  • Swap aggregation across multiple DEX aggregators and liquidity sources
  • Cross-chain transaction routing via integrated third-party account abstraction infrastructure (EIP-7702)
  • Real-time token pricing and market data via third-party providers
  • Transaction history and on-chain activity tracking
  • Live trade tape and token discovery features via third-party market data APIs

5.2 Non-Custodial Nature and Key Management

Fluxor is strictly non-custodial. You bear sole responsibility for your digital assets. Specifically:

  • Your embedded EOA private keys are generated and managed by a third-party key management provider using MPC-TSS infrastructure. The private key is split between your device and secure cloud enclaves, ensuring it is never fully assembled in any single location.
  • Your smart account is powered by third-party EIP-7702 smart wallet and account abstraction infrastructure.
  • Fluxor does not store, have access to, transmit, or control your private keys or digital assets at any time, under any circumstances.
  • Loss of your device, credentials, or recovery methods may result in permanent, irreversible loss of your digital assets. Fluxor cannot recover lost credentials or digital assets.
  • You are solely responsible for maintaining the security of your device, login credentials, and any backup or recovery mechanisms.

5.3 Informational Purposes Only

All information provided through the Interface, including swap quotes, token prices, market data, and portfolio valuations, is for informational purposes only. It does not constitute financial advice. You should seek independent professional advice before making any financial decisions.

6. Fees

6.1 Protocol Fee

Fluxor charges a protocol fee of approximately 0.1% on each completed swap transaction. This fee is deducted from the swap input/output amount at the time of execution. Fees are subject to change at our discretion; the applicable fee will always be disclosed in the App at the time of your transaction. Protocol fees are non-refundable once a transaction is broadcast to the blockchain.

6.2 Network Gas Fees

All blockchain transactions require payment of network transaction fees commonly known as 'gas fees.' Gas fees are determined by the relevant blockchain network and are not charged by or paid to Fluxor. Gas fees are non-refundable. You are solely responsible for all gas fees associated with your transactions. Fluxor has no control over the amount, applicability, or timing of gas fees.

6.3 Third-Party Aggregator Fees

DEX aggregators and liquidity protocols integrated within the App may apply their own fees and spreads, which are typically embedded in the quoted swap price. These fees are not controlled by Fluxor and may vary depending on market conditions and the specific aggregator used.

7. Third-Party Integrations and Services

The App relies on third-party services to function. Your use of these third-party services through the App is subject to their respective terms of service and privacy policies. Fluxor does not endorse, control, or assume any liability for any third-party service.

7.1 Wallet and Account Infrastructure

The App utilizes third-party smart contract wallet infrastructure, cross-chain routing, gas abstraction, social authentication, and Multi-Party Computation (MPC) Threshold Signature Scheme (TSS) key management solutions to facilitate non-custodial wallet creation and transaction signing.

7.2 Decentralized Exchange (DEX) Aggregators

The App integrates multiple third-party DEX aggregators and liquidity networks on both EVM-compatible networks and Solana to fetch swap quotes, calculate optimal routes, and generate transaction calldata.

7.3 Market Data, Node Infrastructure, and Monitoring

The App displays token price data, portfolio valuations, and real-time transaction charts sourced from third-party APIs. On-chain event tracking, transaction status, and blockchain activity data are processed and monitored using third-party node providers, webhooks, and RPC networks to deliver transaction feedback.

The availability of any third-party integration may change without notice. You acknowledge that Fluxor is not responsible for errors, service outages, or losses caused by third-party services, and that Fluxor shall not be liable for any failure of third-party services.

8. Risks of Using the Interface

By using Fluxor, you acknowledge that you understand the following material risks. You assume full responsibility for all risks associated with accessing and using the Interface and interacting with DeFi protocols.

  • Smart Contract Risk: The App interacts with smart contracts deployed on public blockchains. Smart contracts may contain bugs, vulnerabilities, or be subject to exploits. Fluxor does not control and cannot modify deployed smart contracts.
  • Asset Volatility: Digital assets are highly volatile. The value of your assets may decrease significantly or become worthless in a short period of time.
  • Irreversibility: Blockchain transactions are generally irreversible. Errors including incorrect wallet addresses, wrong token selections, or incorrect amounts cannot be reversed by Fluxor.
  • Slippage and Price Impact: Quoted swap prices reflect market conditions at the time of quotation and may change materially before transaction execution. Slippage tolerances set by you may be exceeded.
  • Network Risk: Blockchain networks may experience congestion, outages, hard forks, or other disruptions beyond Fluxor's control that may delay, fail, or affect your transactions.
  • Regulatory Risk: The regulatory treatment of digital assets and DeFi protocols is uncertain and evolving. New laws or regulations in your jurisdiction may affect your ability to use the App or the legality of your activities.
  • Key and Credential Loss: Loss of your device, login credentials, passkey, or recovery methods may result in permanent, unrecoverable loss of your digital assets. Fluxor cannot restore access.
  • MEV and Front-Running: Your transactions on public blockchains are visible in the mempool and may be subject to miner/validator extractable value (MEV) strategies including front-running and sandwich attacks.
  • Third-Party Integration Failures: Fluxor's functionality depends on third-party services including DEX aggregators, pricing providers, and infrastructure providers. Failure of any third-party service may affect your ability to use the App.
  • Oracle and Data Risk: Token prices, balances, and other data displayed in the App are sourced from third-party oracles and APIs. This data may be inaccurate, delayed, or manipulated.

9. Prohibited Uses

You agree not to use the Interface to:

  • Violate any applicable law or regulation, including securities laws, anti-money laundering (AML) regulations, counter-terrorist financing (CTF) laws, or tax laws;
  • Engage in market manipulation, wash trading, spoofing, layering, front-running, or any other manipulative or deceptive trading practice;
  • Circumvent the geographic restrictions in Section 4, including through the use of VPNs, proxy servers, or other technical means;
  • Conduct, facilitate, or engage in fraudulent, deceptive, misleading, or unlawful financial activity;
  • Raise capital for yourself or any third party using any token associated with Fluxor or obtained through the Interface;
  • Attempt to reverse-engineer, decompile, disassemble, or otherwise attempt to derive source code from the App or its underlying infrastructure;
  • Introduce malware, viruses, ransomware, Trojan horses, worms, or other harmful or malicious code into the Interface or connected systems;
  • Use automated bots, scrapers, crawlers, or scripts to access the Interface or its data feeds at a rate or in a manner not intended for normal use;
  • Impersonate Fluxor, any Fluxor team member, or any other person or entity, or misrepresent your affiliation;
  • Use the Interface for the benefit of any sanctioned entity or in violation of applicable sanctions regulations;
  • Attempt to gain unauthorised access to any part of the Interface, backend infrastructure, or third-party services integrated with the App;
  • Violate the terms of service of any third-party service integrated within or accessed through the App; or
  • Encourage or assist any other person to engage in any of the foregoing.

Fluxor reserves the right to suspend or terminate your access to the Interface at any time and without notice for violation of these prohibited uses.

10. Intellectual Property

All content, design, code, logos, and trademarks associated with the Interface are owned by or licensed to Fluxor and protected by intellectual property laws. You are granted a limited, personal, revocable, non-transferable, and non-commercial license to use the App on your device. Any ideas or feedback you submit may be used by Fluxor without obligation to you.

11. Disclaimer of Warranties

THE INTERFACE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES. FLUXOR DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE INTERFACE WILL BE SECURE, ERROR-FREE, OR UNINTERRUPTED. YOU USE THE INTERFACE AT YOUR OWN RISK, AND WE ARE NOT LIABLE FOR LOSSES ARISING FROM USER ERROR (E.G., FORGOTTEN CREDENTIALS, INCORRECT ADDRESSES), SMART CONTRACT EXPLOITS, NETWORK FAILURE, MARKET VOLATILITY, OR THIRD-PARTY OUTAGES.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FLUXOR AND ITS FOUNDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR DIGITAL ASSETS. IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE GREATER OF: (A) PROTOCOL FEES PAID BY YOU TO FLUXOR IN THE PRECEDING 12 MONTHS, OR (B) ONE HUNDRED INDIAN RUPEES (INR 100).

13. Indemnification

You agree to defend, indemnify, and hold harmless Fluxor, its founders, and affiliates from all claims, liabilities, and expenses (including legal fees) arising from your use of the Interface, your violation of these Terms, or your violation of any laws or third-party rights.

14. No Fiduciary Duties

These Terms do not create any fiduciary relationship, partnership, or agency. Fiduciary duties are disclaimed to the maximum extent permitted by law. Fluxor is strictly a software provider and does not act as a broker-dealer, investment adviser, or custodian.

15. Governing Law and Dispute Resolution

These Terms and any disputes shall be governed by and construed in accordance with the laws of India.

Informal Resolution: You agree to first attempt to resolve any dispute informally by contacting support@fluxor.exchange and allowing thirty (30) days for good-faith resolution.

Binding Arbitration: If unresolved, any dispute shall be resolved through binding, individual arbitration under the Arbitration and Conciliation Act, 1996 of India, before a sole arbitrator in English. The seat and venue of arbitration shall be India.

Class Action Waiver: YOU AGREE TO BRING CLAIMS ONLY IN YOUR INDIVIDUAL CAPACITY, WAIVING ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING.

Time Limit: Any claim arising out of these Terms must be filed within one (1) year of the cause of action, or be permanently barred.

16. Changes, Termination, and General Terms

Changes: Fluxor may modify these Terms at any time by posting the updated version. Your continued use constitutes acceptance.

Termination: We reserve the right to suspend or terminate your access to the Interface at our sole discretion at any time.

General Boilerplate: These Terms and the Privacy Policy constitute the entire agreement. If any provision is found invalid, it will be enforced to the maximum extent permissible, and the rest remains valid. You may not assign your rights under these Terms. We are not liable for force majeure events.

Entity Update: Fluxor is operated by its founders pending formal incorporation. Upon registration, these Terms will be updated to reflect the registered entity name and jurisdiction.
